ForecastWatch Awards License - Terms
The following are requires Terms of Use for the ForecastWatch Awards License.

These ForecastWatch Most Accurate Forecast Award Logo License Terms (the “Terms”) govern the use of the Award Logo and the Award Claim by any award winner that enters into an Order Form referencing these Terms. These Terms are standard and apply to all award winners on the same basis. They are not negotiated, varied, or modified for individual licensees.
1. Acceptance and scope
By signing or otherwise accepting an Order Form that references these Terms, or by any use of the Award Logo or Award Claim, the entity named as Licensee in the Order Form (“Licensee,” “you”) agrees to these Terms. These Terms, together with the applicable Order Form, form the entire agreement between you and Intellovations, LLC d/b/a ForecastWatch (“ForecastWatch,” “we”) regarding the Award Logo and Award Claim (the “Agreement”). If you do not agree, do not sign an Order Form and do not use the Award Logo or Award Claim.
2. Definitions
- “Award” means each specific recognition listed on your Order Form, defined by its market, region, metric, and forecast horizon for the stated award year.
- “Award Logo” means the official award seal, badge, and associated lockups for the applicable award year, supplied by ForecastWatch in the Brand Kit.
- “Award Claim” means the exact approved statement of the Award provided to you for the Awards listed on your Order Form.
- “Mandatory Legend” means the citation and attribution text that must accompany each use of the Award Logo or Award Claim, as provided in the Brand Kit.
- “Usage Guidelines” means ForecastWatch’s then-current brand and usage standards for the Award Logo, provided in the Brand Kit and incorporated into these Terms by reference.
- “Brand Kit” means the Award Logo artwork, Usage Guidelines, Award Claim, and Mandatory Legend that ForecastWatch provides on acceptance and payment.
- “Order Form” means the License Order Form executed by you that identifies the Awards, the Award Period, and the License Fee, and references these Terms.
- “Award Period” means the license term stated in Section 6.
- “Licensed Materials” means any of your materials that display the Award Logo or Award Claim.
3. License grant
Subject to your compliance with these Terms and payment of the License Fee, ForecastWatch grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Award Period to display the Award Logo and to use the Award Claim solely to promote the specific Award(s) listed on your Order Form. All rights not expressly granted are reserved to ForecastWatch. This Agreement grants no right to any ForecastWatch mark, logo, data, or platform other than the Award Logo and Award Claim for the Awards on your Order Form.
4. Permitted uses
Subject to the Usage Guidelines, you may display the Award Logo and Award Claim in the following media:
- your website, including its homepage and product pages;
- your software products, applications, and user interfaces;
- digital, social, and email marketing;
- print collateral, sales decks, proposals, and RFP responses;
- product packaging and trade-show or event materials.
5. Territory
The Award Logo may be displayed worldwide, provided that every use includes the Mandatory Legend identifying the specific region, metric, and horizon of the Award, and does not imply recognition outside the region(s) actually awarded.
6. Term and renewal
The Award Period begins on the Effective Date stated on your Order Form and continues until the day before ForecastWatch publicly announces the next annual Awards cycle, or twelve (12) months from the Effective Date, whichever is earlier, unless terminated earlier under Section 14. The license does not renew automatically. If you win an Award in a subsequent cycle, ForecastWatch may offer a renewal Order Form on its then-current terms and fees. Use of any prior-year Award Logo or Award Claim after the Award Period is prohibited.
7. Fees
You will pay the License Fee stated on your Order Form, due within the period stated there. Rights under Section 3 are contingent on payment. Except as expressly stated, the License Fee is non-refundable, including on early termination by you or for cause under Section 14. Fees are exclusive of applicable taxes, which are your responsibility.
8. Required attribution and restrictions
8.1 Mandatory Legend. The Mandatory Legend must appear with each use of the Award Logo or Award Claim, legibly and in reasonable proximity to the Award Logo, including a reference to forecastwatch.com/awards.
8.2 No alteration. You shall not modify, recolor, redraw, distort, animate, crop, or recompose the Award Logo, or combine it with other marks in a way that creates a unitary or composite mark, except as expressly permitted by the Usage Guidelines.
8.3 No overreach. You shall not (a) use the Award Logo or Award Claim for any market, region, metric, horizon, year, product, brand, or affiliate not listed on your Order Form; (b) state or imply that ForecastWatch endorses, certifies, or sponsors you generally or any specific product; (c) imply the recognition is ongoing or perpetual; or (d) use the Award Logo or Award Claim in a false, misleading, or disparaging manner.
8.4 Year specificity. Every use must clearly state the award year. You shall not present a prior-year Award as current.
8.5 No sublicensing. You shall not sublicense, assign, or transfer any right under this Agreement, including to resellers, partners, or affiliates, without ForecastWatch’s prior written consent.
9. Quality control and approval
You shall use the Award Logo only in a manner consistent with the Usage Guidelines and the high quality of the Awards. On ForecastWatch’s request, you shall submit representative Licensed Materials for review within ten (10) business days. If ForecastWatch identifies non-compliant use, you shall correct or remove it within ten (10) business days of notice. All goodwill arising from your use of the Award Logo and Award Claim inures solely to ForecastWatch.
10. Ownership of marks
The Award Logo, the Award Claim, the ForecastWatch name, and all related marks and the Awards program are and remain the exclusive property of ForecastWatch. You acquire no ownership interest and shall not register, or attempt to register, any of them or any confusingly similar mark. You shall not challenge ForecastWatch’s ownership or the validity of the Award Logo, Award Claim, or related marks during or after the term.
11. Representations and warranties
11.1 ForecastWatch represents that it has the right to grant the license in Section 3 and that the Award determinations were made in good faith using its published methodology.
11.2 You represent that you will use the Award Logo and Award Claim only as permitted, that your statements about the Award will be truthful and not misleading, and that the data you provided to ForecastWatch for verification was accurate and complete.
11.3 Except as expressly stated, the Award Logo and Award Claim are provided “as is,” and ForecastWatch disclaims all other warranties, express or implied.
12. Indemnification
You shall indemnify, defend, and hold harmless ForecastWatch and its members, officers, and employees from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Award Logo or Award Claim, your breach of this Agreement, or any statement you make about the Award beyond the approved Award Claim and Mandatory Legend.
13. Limitation of liability
Neither party is liable for indirect, incidental, special, or consequential damages. ForecastWatch’s total liability under this Agreement shall not exceed the License Fee actually paid by you.
14. Termination and clawback
14.1 For breach. ForecastWatch may suspend or terminate this Agreement immediately on written notice if you misuse the Award Logo or Award Claim, breach Section 8, or fail to cure any other breach within ten (10) business days of notice.
14.2 Clawback. ForecastWatch may terminate this Agreement, and revoke the license, if (a) the underlying accuracy results are later found to be in error or are restated; (b) you cease to provide forecast data to ForecastWatch such that your accuracy can no longer be verified; or (c) the data you provided is found to have been inaccurate or incomplete. In each case, ForecastWatch will act reasonably and provide notice.
15. Effect of termination
On expiration or termination, you shall immediately cease all use of the Award Logo and Award Claim and remove them from all properties within your reasonable control, including your website and active marketing, within ten (10) business days. Sections 10, 12, 13, and 17 survive.
16. Changes to these Terms
ForecastWatch may update these Terms from time to time by publishing a new version. The version of these Terms in effect on the Effective Date of your Order Form governs your Award Period. Updated Terms apply to renewals and to Order Forms accepted after the update.
17. General
17.1 Governing law. This Agreement is governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Franklin County, Ohio.
17.2 Independent parties. The parties are independent contractors. Nothing creates a partnership, agency, or joint venture.
17.3 Entire agreement. These Terms and your Order Form are the entire agreement on this subject and supersede prior discussions. The Order Form supplies only the deal-specific details (Licensee, Awards, Award Period, and License Fee); it does not modify these Terms.
17.4 Notices. Notices must be in writing to the contacts on the Order Form (email sufficient).
18. Free press release
Separately and at no charge, all award winners may issue one announcement using ForecastWatch’s Winner Press Release Template under its stated terms. That permission is independent of, and supplemental to, this Agreement and does not grant any right to the Award Logo.
